PRIVACY POLICY

Wheels Vibe believes in complete transparency when it comes to our members. To ensure you have all the information you need, we’ve compiled a comprehensive list of fees for various scenarios that may arise after you’ve made your reservation. Take a look below:

Cancellation:

Cancellations made more than 48 hours before the booking start will incur a fee of 25%. Cancellation made within 24 hours of the booking start will result in no refund or a fee equal to the booking fee, whichever amount is greater. Cancellations made after the booking start will not be eligible for a refund. (Note: Cancellation refunds will be processed through the original payment method within 7-10 business days.)

Reschedule before the start:

Modifications made more than 24 hours before the booking start will not incur any charges.

Extension post start:

For Doorstep Bookings: Extending the booking within 12 hours of the original end time will lead to the cancellation of the doorstep collection service, with no refunds applicable.

Shortening post start:

No charges or refunds will apply if you choose to shorten your booking after it has already started.

Shortening/Rescheduling within 24 hours of booking start or booking end:

Customers will not be able to change the booking start time or shorten the booking end time. No refunds will be applicable in such cases. However, customers can extend their booking by informing 24 prior to drop time (extension depends on availability of the vehicle).

Late Return:

Late returns will be charged at the full-day rental rate.

  1. Pickup: If you pick up the car at any time after 9:00 AM, your first rental day will start at 9:00 AM on that day. For example, if you pick up the car at 10:00 AM, your first rental day will be from 9:00 AM today to 9:00 AM tomorrow.

  2. Return: If you return the car before 9:00 AM on the following day, you’ll be charged for one rental day. For instance, if you return the car at 8:00 AM, you’ll have rented the car for one day.

  3. Extended Rentals: If you keep the car past 9:00 AM on the following day, you might be charged for an additional rental day. For example, if you return the car at 10:00 AM, you might be charged for two rental days.

This “9 am to 9 am” model can be advantageous if you plan your rental period to align with this timeframe, as it provides a clear and consistent way to determine rental days. Kindly review the terms and conditions to avoid any misunderstandings.

Pricing plan change:

No changes to the pricing plan will be allowed once the booking is made.

Free Kilometres:

Unlimited kilometers are provided within Goa.

Minimum Duration:

The minimum booking duration for which prices will be charged is 2 calendar days.

Discounts:

Discounts are applicable only for trips lasting 2 calendar days or more at the time of booking. The discount applies only to the booking fee paid in advance (excluding refundable deposits, if any). Please note that discounts will not be applicable on blackout days. You can find a list of upcoming blackout days/peak seasons on our website. (WheelsVibe Car reserves the right to cancel a booking if any misuse of a discount coupon is identified.)

Fuel Policy:

For “No Fuel” bookings, the vehicle should be returned with the same fuel level as at the start of the booking. If the vehicle is returned with less fuel, a refueling penalty will apply. No refund will be provided if the car is returned with excess fuel.

Speed Governor:

The vehicle may be equipped with a speed governor to comply with applicable government regulations, limiting the vehicle’s speed to 80 km/h.

Breakdown of vehicle:

The member will be responsible for the costs related to repairs, recovery, and loss of use of any WheelsVibe vehicle resulting from their actions, up to the current damage fee as outlined in our Fee Policy/Rate Schedule. If the member is not responsible for the breakdown of the WheelsVibe vehicle, we will refund the cost of the unused hours of the booking. However, WheelsVibe will not be liable for any additional costs incurred by the member due to the breakdown.

      • Handover, Extensions, and Modifications (Subject to Vehicle Availability)

      • Handover, extensions, and modifications of your booking are subject to the availability of the vehicle. We strive to accommodate your requests, but please note that availability may vary.

      • Free Kilometers Within Goa

      • When you book with WheelsVibe, you are entitled to free kilometers within Goa. Enjoy exploring beautiful destinations without worrying about extra charges for kilometers traveled within the state.

      • Refunds and Payment

      • Any refunds for cancellations or other applicable situations will be processed through the original payment account used during the reservation process. Please allow 7-10 working days for the refund to reflect in your account.

      • Pre-defined Accessory Fees

      • Please be aware that WheelsVibe reserves the right to charge a fee for specific pre-defined accessories. We believe in providing a customized experience, and these charges ensure that you have access to the additional features you require.

      • Penalties for Violation of WheelsVibe Community Rules

      • To maintain a safe and respectful community, WheelsVibe enforces penalties for violations of our community rules. It is essential to adhere to these guidelines to ensure a pleasant and hassle-free experience for everyone.

      • Returning the Vehicle to the Wrong Location

      • If you return the vehicle to an incorrect location, a penalty of INR 1,000 will be charged. Additionally, you will be responsible for the full-day fee for the vehicle’s use and the full late fee until the vehicle is returned to the correct location.

      • Traffic and Parking Violations

      • In the case of traffic and parking violations, you will be required to make full payment of the fines imposed. Failure to make timely payments will incur an additional charge of INR 500 per 30 days of delayed payment.

      • No Show

      • If you fail to show up for your booking within 4 hours of the scheduled start time, the booking will be considered canceled. In such cases, no refunds will be applicable.

      • Over Speeding (>= 100km/hr)

      • Excessive speeding is a safety concern. If you are caught driving at a speed of 100 km/hr or more, you will be charged INR 2500 in addition to any government fines that may have been levied. Furthermore, repeated instances of overspeeding in two bookings will result in expulsion from WheelsVibe.

      • Smoking

      • To maintain a clean and fresh environment for all members, smoking inside the vehicle is strictly prohibited. Violation of this policy will result in a penalty of INR 1,000, along with applicable damage costs related to the vehicle’s interiors.

      • Wrong Fueling

      • It is your responsibility to ensure that you use the correct fuel type for the rented vehicle. In case of wrong fueling, you will be held liable for the full cost of any damage caused to the vehicle, including miscellaneous expenses arising from the damages. We recommend consulting the RC Documents of the rented vehicle to verify the correct fuel type.

      • Key Missing

      • If you misplace the key to the rented vehicle, a penalty of INR 10,000 will be charged, in addition to the cost of key replacement.

      • Vehicle Damage (Accidental)

      • Any unintentional or accidental damage caused to the vehicle will be assessed for repair costs based on the authorized dealer estimate.

      • Vehicle Damage (Intentional or Consequential)

      • In the event of intentional or consequential damage caused to the vehicle as a result of your actions, you will be liable for the full cost of repair, including the loss of expected revenue arising from the damage. Examples of such damage include driving in water loggings resulting in engine breakdown, driving with under-body damages resulting in engine breakdown due to oil drainage, driving under the influence of alcohol or other intoxicants, and driving with an excessive clutch

    Member’s Responsibility

    At WheelsVibe, we prioritize safety and compliance with the law and our community rules. It is essential for our members to understand their responsibilities and the consequences of violating these rules. By joining WheelsVibe, members agree to take full responsibility for any damage, liability, fines, and legal action resulting from their actions, including but not limited to over speeding or driving under the influence of alcohol.

    Tolls

        1. Members are responsible for paying all tolls promptly when they are due. We appreciate your cooperation in ensuring smooth and hassle-free journeys.

        1. WheelsVibe vehicles are registered within the Goa permit. This allows you to explore the state’s beautiful destinations conveniently.

      Terms and Conditions

      The following are important terms and conditions that apply to all WheelsVibe members. Please review them carefully:

          • WheelsVibe reserves the right to modify the terms of this policy. Any changes will be notified to members in a timely manner. Notice will be considered given when it is indicated and accessible from the first page accessed after logging onto the WheelsVibe website or through email communication.

          • To book an Audi A4, Toyota Fortuner, or Ford Endeavour, customers must be 20 years of age or older. Bookings for these vehicles will be canceled if the age requirement is not met.

          • Members must possess a valid Indian license for a light motor vehicle (non-transport) and an Aadhar card.

          • Members should not have any alcohol or drug-related driving violations in the past seven years.

          • Payments for WheelsVibe services are accepted through credit cards, debit cards, or net banking. Please ensure that you provide accurate and valid payment information.

          • There is no minimum time requirement for holding a license before becoming a WheelsVibe member or making a reservation.

        WheelsVibe Member Agreement

        This Member Agreement serves as a legally binding document between you, the user, and WheelsVibe, governing your relationship and transactions related to the use of our services. By accepting this agreement, either directly or indirectly through electronic means, you agree to comply with its terms and conditions.

        Please carefully read the terms of this Member Agreement before using or registering on the WheelsVibe website or accessing any materials, information, or services provided through the website. If you do not agree with these terms, kindly refrain from using the website or availing any of the services offered.

        WheelsVibe reserves the right to amend the terms of this Member Agreement, and any changes will be notified to members in a timely manner. Notice will be considered given when it is indicated and accessible from the first page accessed after logging onto the WheelsVibe website, through email communication, or via SMS to the mobile number provided during account creation.

        By making a reservation after receiving notice of any changes to the agreement, you agree to be bound by the amended terms and conditions. However, if you choose to decline these changes, you may discontinue your trips under the WheelsVibe Member Agreement.

        In case of any conflict between this agreement and any other document related to WheelsVibe’s other programs, these terms and conditions shall govern, unless otherwise specified in writing by WheelsVibe.

        1. General:

        WheelsVibe is incorporated under the laws of India,

        2. Persons Permitted to Drive Vehicles:

        2.1 Exclusive Driving Privileges: Only active WheelsVibe Customer/Member (Customer who books Rental Car Also known as Member in our terminology), as determined solely by WheelsVibe, are permitted to operate WheelsVibe vehicles. Non-Customer are expressly prohibited from driving any WheelsVibe vehicle at any time. Valid Driver’s License: The customer must possess a valid and effective driver’s license to operate WheelsVibe vehicles. This requirement ensures compliance with legal driving standards and promotes responsible driving practices. Financial Responsibility: The reserving Member bears all responsibility for determining and covering any fees and charges associated with their vehicle reservation. Additionally, any liability or claims arising from the usage of the vehicle shall be shared among all participating Customers. Prior Consent for Alternate Drivers: In the event that a Member wishes to authorize another individual with a valid driver’s license to operate the reserved WheelsVibe vehicle, prior consent from WheelsVibe must be obtained. Failure to obtain such consent will render the Member who made the original booking solely liable for indemnifying WheelsVibe, without any limitations, for any losses incurred.

        2.2 Meeting the necessary eligibility criteria to become a WheelsVibe Member does not guarantee an applicant’s membership. The acceptance of a membership application is contingent upon WheelsVibe’s approval, which is determined at its sole discretion.

        It is the responsibility of the Member to furnish and update their current email address, cell phone number, residential address (both current/temporary and permanent), and other relevant account information with WheelsVibe. The Member guarantees that the information provided to WheelsVibe is entirely accurate and agrees to promptly notify WheelsVibe of any changes, including but not limited to the residential address.

        2.6 The Member bears the responsibility of maintaining strict confidentiality of any WheelsVibe-related passwords and/or PIN numbers and must refrain from sharing such information with third parties. If a password or PIN is written down or stored electronically, the Member assumes liability for any costs or damages incurred due to unauthorized use by third parties. In the event that the Member suspects unauthorized access to their password and/or PIN by a third party, the Member agrees to immediately change the compromised password and/or PIN.

        3. Prohibited Uses:

        3.1 The following conditions prohibit the use of a WheelsVibe vehicle:

        a) Engaging in any speed race or competition.
        b) Towing, pushing, or propelling trailers or other vehicles.
        c) Utilizing the vehicle primarily for transporting people or operating as a taxi service.
        d) by any person who is under the influence of (i) alcohol or (ii) any drug or medication under the effects of which the operation of a vehicle is prohibited or not recommended. A zero-tolerance policy is adopted and a limit of 0.0% applies;
        e) Using the vehicle for criminal activities or any illegal actions.
        f) Operating the vehicle in an imprudent, negligent, or abusive manner, or engaging in abnormal use.
        g) Providing false information to WheelsVibe or making false representations (including name, age, or address).
        h) Driving the WheelsVibe vehicle outside of Goa or in any prohibited areas within Goa.
        i) Using a mobile phone or any other mobile communication device while driving, including texting, emailing, using a hands-free device, or engaging in any distracting activities prohibited by law.
        j) Transporting flammable, poisonous, or hazardous substances in the vehicle, except for legally permissible household use and within usual consumption limits.
        k) Transporting objects that could adversely impact the vehicle’s handling safety, damage the vehicle’s interior, or pose a safety risk to other vehicles due to size, shape, or weight.
        l) Exceeding the prescribed seating capacity of the vehicle as determined by the manufacturer.

        Please note that these conditions prohibit the use of a WheelsVibe vehicle.

        3.2 The examples provided above are not meant to be an all-inclusive list. Any usage of a WheelsVibe vehicle that is deemed unreasonable, unwarranted, illegal, unethical, or inappropriate, except for personal travel purposes as determined solely by WheelsVibe, may be considered a violation of the terms and conditions. In such cases, WheelsVibe reserves the right to report any such vehicle usage or other activities that contravene local or state laws, or go against these terms and conditions, to the relevant authorities.

        3.3 In the event that a Member violates any of the terms and conditions stated in the Member Agreement, WheelsVibe retains the right to suspend or terminate the Member’s access to the Service immediately. Upon suspension or termination, WheelsVibe may, at its sole discretion, cancel any existing reservations made by the Member. Additionally, the Member will bear full responsibility for any losses, direct or indirect damages, costs, charges, fees, and expenses incurred by WheelsVibe due to the breach of these terms and conditions. The Member unconditionally and irrevocably agrees that WheelsVibe reserves the right to take necessary actions to recover the losses and damages suffered by WheelsVibe from the Member’s assets, including those of their legal heirs or representatives.

        4. Making a Reservation for WheelsVibe Vehicles:

        4.1 To secure a vehicle for use, it is mandatory to make a reservation in advance. Members are responsible for reserving a vehicle before usage, and usage fees will be charged at the time of reservation. Upon taking possession of the vehicle for a scheduled ride or trip, Members must adhere to the following conditions:

        a) Members must carry their original driving license, which was provided to WheelsVibe during the account opening or booking process. The license must be presented to the WheelsVibe representative present at the designated vehicle pickup location.

        b) Members must carry and assist WheelsVibe in capturing an image of one of the following original documents for identity verification purposes:

        i) EPIC (Electoral Photo Identity Card), commonly known as Voter ID; or

        ii) Valid Passport

        c) Members must cooperate with the WheelsVibe representative in taking a photograph of themselves with the vehicle. This measure is implemented for the safety of the Member and for record-keeping purposes by WheelsVibe.

        If any of the above conditions are not successfully fulfilled during the scheduled vehicle pickup, the Member will be solely responsible. In such cases, WheelsVibe reserves the right to withhold the vehicle and consider the booking completed without any obligation to refund or return the booking amount.

        4.2 If you intend to cancel a reservation or reduce the duration for which a vehicle has been booked, it is necessary to do so in advance, following the guidelines outlined in the Fee Policy.

        4.3 In order to extend a reservation, the following conditions must be fulfilled:

        a) The online payment for the extension has been successfully made and received by WheelsVibe. b) The vehicle is available for use during the requested extension period, meaning it is not reserved by another member. c) The request for an extension is completed prior to the scheduled expiration time of your existing reservation.

        If any of the above conditions are not met after the expiration of the initial or immediate prior booking, it will be considered that you are in unauthorized possession of the vehicle. In such cases, you must promptly and without delay return the vehicle to WheelsVibe’s designated parking area or its representative. Failure to return the vehicle within one hour from the expected handover time or after the booking has expired will be considered a breach of trust, and your involvement in the theft of the vehicle will be presumed without any doubt.

        4.4 If your reservation is not successfully extended (even if you have requested an extension that has not been confirmed or has been denied by WheelsVibe for any reason) and you fail to return the vehicle to the designated WheelsVibe space by the scheduled end time of your reservation, WheelsVibe reserves the right to initiate criminal proceedings against you. Additionally, WheelsVibe will make all reasonable efforts to promptly retrieve the vehicle from you, either immediately or at a later time and at any location.

        a) Starting from the scheduled end time of your booking until the vehicle is successfully recovered by WheelsVibe, you will incur late fees, inconvenience fees, and any other applicable charges as per our Fee Policy.

        b) You will be responsible for any additional costs incurred by WheelsVibe in retrieving the vehicle from you, including but not limited to legal fees, consultant fees, travel expenses, and other related expenses.

        c) In such a case, you will not receive any compensation or alternative transportation, and your access to ride in WheelsVibe vehicles will be revoked. You agree to hold WheelsVibe, its officers, employees, agents, and affiliates harmless from any claims associated with the vehicle and/or its repossession. Furthermore, you will indemnify WheelsVibe without reservation against any costs, losses, or liabilities incurred by WheelsVibe arising from or in connection with any claims made by third parties regarding the vehicle and/or its repossession.

        5. Picking Up and Returning the Vehicle/Condition of the Vehicle

        5.1 It is your responsibility to collect the designated vehicle from its assigned location and return it in a secured, clean, and fully functional condition to the correct and designated location by the scheduled end time of your reservation. Please note that the availability of the vehicle is subject to its availability at the time of pickup. Additionally, WheelsVibe retains the right to cancel any booking at its sole discretion. In such cases, the only consequence will be a refund of the fees collected when you return the vehicle.

        5.2 Before taking possession of a vehicle, it is necessary for you to conduct an inspection of both the vehicle’s exterior and interior. Prior to driving the vehicle, you must inform WheelsVibe about any damages or abnormalities you notice on the vehicle or during its operation. Failure to report any issues to WheelsVibe at the beginning of your reservation will result in you being held responsible for any problems discovered or reported after your reservation, including vehicle damage or insufficient cleanliness. In such cases, you may incur charges for damages, cleaning, or other relevant fees, and your membership with WheelsVibe may be temporarily suspended or even terminated.

        5.6 The member must promptly notify WheelsVibe of any issues that affect the vehicle’s driving performance, such as diminished driving experience or any external or internal damage that jeopardizes the vehicle’s safety. These issues include but are not limited to, non-functioning or absent signal or driving lights, broken or missing rear-view mirrors, and damaged windshield glass. Immediate reporting is essential in ensuring the vehicle’s optimal functionality and safety.

        5.7 Regardless of any conflicting provisions in this policy, any damage resulting from your intentional misconduct or gross negligence while the vehicle is stationary will incur charges or fees at WheelsVibe’s sole discretion.

        6. Safety is of utmost importance:

        6.1 The member has the responsibility for: ensuring the proper use of seat belts and child restraints:

        a. The member must adhere to all relevant seat belt, speed limit, and child restraint laws. It is essential for the member to strictly follow the maximum speed and weight limits, as well as any other instructions communicated by authorities through signage or markings along the route.

        b. The member must ensure the safety of all children by correctly utilizing an appropriate child passenger restraint system that complies with the Motor Vehicle Safety Standards of the jurisdiction where the trip begins and where the WheelsVibe vehicle is driven during the trip.

        7. Ensuring the Security of WheelsVibe Vehicles:

        7.1 The member is accountable for securing the WheelsVibe vehicle from external factors, such as adverse weather conditions or human interference, each time they park the vehicle, whether it is at the end of the reservation or during the reservation period.

        7.2 WheelsVibe strongly advises its Members to assume full responsibility for their personal belongings. If a Member claims to have accidentally left behind any luggage, phones, or personal music devices in a WheelsVibe vehicle after completing their reservation, it is their responsibility to report it within minutes of successfully returning the car. However, it should be noted that WheelsVibe cannot be held accountable for any loss or damage in such situations, regardless of the circumstances.

        8. Fee Structure and Reimbursable Expenses:

        8.1 The Member is bound by WheelsVibe’s fee policy, which can be found on the website wheelsvibe.com. This policy outlines various scenarios that encompass all applicable fees, such as rental fees, charges for exceeding kilometer limits, late fees, extension fees, penalties, fines, and more. Please note that this list is not exhaustive.

        8.2 The term “Eligible Expense” is defined as follows:

        As long as it reasonably corresponds with the distance traveled, any fuel-related expense is eligible for reimbursement, in accordance with either the standard industry mileage or WheelsVibe’s internal mileage standard.

        9. Cleanliness and Maintenance:

        10.1 WheelsVibe is responsible for conducting all necessary routine maintenance on its vehicles. However, Members are accountable for ensuring the cleanliness of the vehicle. They are expected to cooperate with WheelsVibe in order to uphold the vehicle’s driving safety and performance, especially during longer reservations or when the vehicle indicates a need for service or maintenance.

        10.2 The vehicle may occasionally require Roadside Assistance. WheelsVibe strives to offer Roadside Assistance support in all situations to the best of its abilities. However, if a Member’s need for Roadside Assistance arises due to a violation of these Terms and Conditions, the Member may be responsible for covering the entire costs of towing, repair, and maintenance.

        10.3 The consumption of tobacco, cigarettes, cigars, and alcohol is strictly prohibited within WheelsVibe vehicles. If any evidence of smoking, chewing, drinking, or dipping is discovered inside a WheelsVibe vehicle or reported by a Member immediately after their reservation, the Member may be subject to an additional fine.

        10.4 The act of burning any substance is strictly forbidden within WheelsVibe vehicles. This prohibition encompasses tobacco, other drugs, incense, and any other similar substances, without limitation.

        10.5 With the exception of vehicles specifically designated as “pet friendly,” the presence of pets in WheelsVibe vehicles is strictly prohibited. If any evidence of pets is discovered in a WheelsVibe vehicle or reported by a Member immediately after their reservation, the Member may be subject to additional fees.

        10. Vehicle Breakdown or Incidents:

        10.1 In the event of any breakdowns or incidents involving WheelsVibe vehicles, it is crucial to promptly report them to WheelsVibe. Please notify WheelsVibe immediately by phone at 9423871774 and send an email to info@WheelsVibe.com to provide the necessary details.

        10.2 If you perform a jump start on a WheelsVibe vehicle, it is essential to inform WheelsVibe immediately either by phone or through the mobile app. Please note that you will be held fully responsible for any damage that may occur due to the incorrect use of jumper cables or other tools. Providing a jump start to any vehicle other than a WheelsVibe vehicle is strictly prohibited.

        10.3 In the event of an incident involving property damage or any third party, the Member is required to complete an official police report form and provide a jointly agreed-upon statement. Additionally, they must fill out WheelsVibe’s incident report form and collect the following information:

        a. Date, time, and location of the incident.
        b. License plate numbers, make, year, identification numbers (serial numbers), and insurance certificate numbers (including the name, address, and phone number of the insurance agent) of any other vehicles involved.
        c. Names, addresses, and driver’s license numbers of the individuals involved in the incident.
        d. Name, address, and driver’s license number of the vehicle owner (if different from the driver).
        e. Names, addresses, and phone numbers of witnesses, passengers, and other individuals involved.
        f. Description of the incident’s circumstances, including the immediate environment and the position of the vehicles prior to the incident.
        g. A police report is mandatory, regardless of liability or fault. In the written complaint to the police, the Member should accurately state only the actual facts. It is crucial to avoid any discrepancies, inconsistencies, or distortions from the actual facts as they can negatively impact valid insurance or other claims by WheelsVibe. Any losses incurred by WheelsVibe due to a Member’s inaccurate, inconsistent, or distorted complaint will be the responsibility of the Member.

        10.5 Investigation and Procedure: In the event of a claim or lawsuit against WheelsVibe regarding any incident involving a WheelsVibe vehicle, the Member is required to provide WheelsVibe and any other claims adjustment service with the findings of any report or notice pertaining to the claim or lawsuit. The Member agrees to fully cooperate with WheelsVibe during the investigation and defense of such claims or lawsuits. Please note that the Member’s accounts will be temporarily suspended until the investigation is concluded.

        10.6 The Member will bear the expenses associated with repairing, recovering, and compensating for the loss of use of a WheelsVibe vehicle resulting from the situations described above. These costs will be covered up to the current damage fee specified in the Fee Policy / Rate Schedule, under the following circumstances: if the costs arise due to the Member’s fault, if the fault cannot be directly attributed to any other person or entity, or if the costs are not covered or reimbursed by the insurer of WheelsVibe vehicles or the insurer of the other vehicle involved in the accident.

        10.6A If the breakdown of a WheelsVibe vehicle is not attributable to the Member, WheelsVibe will reimburse the Member with an amount equivalent to the cost of the unused hours of the booking. However, WheelsVibe will not be held responsible for any additional expenses incurred by the Member as a result of the vehicle breakdown.

        10.7 If any accidents or damages occur, any out-of-court settlements initiated or reached by Members with third parties without the written consent of WheelsVibe will be the sole responsibility of the Member.

        11. Traffic Violations:

        11.1 You are held responsible for any traffic violations that occur as a result of your improper use of a WheelsVibe vehicle. This includes, but is not limited to, unauthorized parking, excessive speeding, running red lights, photo enforcement violations, and toll violations. You are solely liable for all costs associated with such violations during your trip/ride/booking, including fines for late payment and any processing fees imposed by the relevant regulatory authority. It is your responsibility to report these violations to a WheelsVibe representative as soon as possible within the specified timeline for the violation (e.g., if the case goes to court). Upon being informed of such violations, WheelsVibe will promptly notify you via email. You must then promptly pay the relevant fine(s) to the respective authority and provide WheelsVibe with proof of payment. Failure to do so will result in WheelsVibe paying the fines on your behalf, and you will be required to reimburse WheelsVibe promptly. However, if you have personal knowledge of these violations, WheelsVibe is not obligated to provide you with the notification mentioned above, but your obligation to pay the relevant fine(s) and notify WheelsVibe of your compliance remains as stated previously.

        11.2 It is strictly prohibited to leave a WheelsVibe vehicle in an area with parking restrictions. If you unintentionally leave the vehicle in such a restricted zone, it is essential to notify WheelsVibe immediately. In such cases, you will be held responsible for any violation notices or towing charges incurred by WheelsVibe. Furthermore, financial penalties will be imposed on you for any inconvenience caused to other WheelsVibe members if the vehicle becomes unavailable for its scheduled reservation due to parking violations. Please refer to the fee policy on the WheelsVibe website, WheelsVibe.com, for more details regarding these penalties.

        13. Data Collection and Usage:

        13.1 WheelsVibe collects, stores, processes, and utilizes the Member’s personal data, which may include, but is not limited to, name, email address, internet protocol (IP) address, driving license number, and authenticated color images of the Voter ID or Passport on the official letterhead of the respective electoral officer and police officer responsible for the Member’s address. Additionally, any other supporting address and identity proof, as well as images of the customer, usage data, and vehicle data relevant to the Member, are collected as necessary for the administration and implementation of this Agreement and the Member’s use of WheelsVibe’s vehicles.

        13.2 In cases where third-party services are utilized, WheelsVibe reserves the right to share the Member’s personal data with the respective third-party service provider to the extent necessary to achieve the objectives of WheelsVibe.

        13.3 WheelsVibe has the right to share the Member’s personal data with third parties for the purpose of delivering personalized offers, services, and other customized information to the Members.

        13.4 WheelsVibe is committed to implementing and maintaining reasonable procedures to ensure the protection of sensitive personal information in compliance with applicable laws.

        14.5 Regardless of any conflicting provisions herein, the Member will be governed by the privacy policy of WheelsVibe, which is specified on the website WheelsVibe.com.

        14. Arbitration and Jurisdiction for Disputes:

        14.1 Any dispute, controversy, or claims between WheelsVibe and the Member arising from or relating to the terms and conditions of this Member Agreement or transactions conducted on the website, or the breach, termination, or validity of any provision under this agreement, shall be resolved through arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by WheelsVibe. The arbitration proceedings, as well as the interpretation and validity of this arbitration agreement, shall be governed by the laws of India. The arbitration proceedings will take place in Goa, and the award shall be rendered in the English language. In the event that either party employs attorneys to enforce any rights arising from this Agreement, the prevailing party shall be entitled to recover reasonable attorneys’ fees.

        (a) Subject to the provisions of sub-clause (b), the Member hereby agrees irrevocably that the courts in Goa shall have exclusive jurisdiction to hear and determine any litigation, suit, action, or proceedings, as well as to settle any disputes arising from or related to this Agreement, its formation, or validity (“Proceedings”), and for the enforcement of any judgment against the Member’s property or assets.

        (b) This clause shall not, and shall not be construed so as to, limit the right of WheelsVibe to initiate proceedings against any of its Members in accordance with the mandates contained in Section 20 of the Civil Procedure Code, 1908.

        (c) Notwithstanding anything stated in the preceding sub-clauses, the jurisdiction in relation to criminal proceedings shall be governed by the provisions contained in Chapter XIII of the Code of Criminal Procedure, 1973.

        14.3 In the event that a court or forum issues an order in favor of WheelsVibe in any legal proceeding related to this Agreement, including appeals, the Member agrees to bear the reasonable attorneys’ fees and costs incurred by WheelsVibe.

        14.4 The Member is prohibited from assisting or promoting the submission of any third-party claim or lawsuit against WheelsVibe. The Member is required to fully cooperate with WheelsVibe and WheelsVibe’s insurer in the investigation and defense of any claim or lawsuit. If, in any proceeding where both the Member and WheelsVibe are defendants, WheelsVibe determines at its sole discretion that the Member’s independent attorney has not aligned their defense similarly to that of WheelsVibe, WheelsVibe has the right to request the Member to engage an attorney recommended by WheelsVibe, and the Member shall bear the expenses associated with changing their attorney accordingly.

        14.5 The Member is required to promptly notify and provide WheelsVibe with every summons, complaint, document, or notice of any nature received by the Member concerning an accident, theft, or any other incident involving a WheelsVibe vehicle.

        15. Integrated Agreement and Severability Clause:

        In the event that any term, provision, covenant, or condition of this Agreement is deemed invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect, as if the Agreement had been executed with the invalid portion removed. The Parties also agree to replace the invalid provision with a valid provision that closely aligns with the intended purpose and economic impact of the invalid provision. This Agreement, along with the User Guide, Trip Process, Member Application, Fee Policy / Rate Schedule, and any relevant consent forms, as well as any amendments to this Agreement, constitute the entire agreement between the Member and WheelsVibe, superseding all prior understandings and agreements. The Member acknowledges and affirms that they have not relied on any representations, assertions, guarantees, warranties, collateral contracts, or assurances made by any other party or entity prior to the execution of this Agreement, except for those expressly set forth within this Agreement.

        16. No Waiver Clause:

        Any provision within this Agreement cannot be modified or waived unless done so in writing and signed by an expressly authorized representative of WheelsVibe. The waiver of any default by the Member/You under any of the Terms or Conditions of this Agreement shall not be interpreted as a waiver of any previous or subsequent default of any of the Terms or Conditions of this Agreement.

        17. Transfer or Assignment:

        The rights granted to the Member under this Agreement are non-assignable and non-transferable, either in whole or in part. Any attempt to transfer this Agreement without the written consent of WheelsVibe shall be deemed null and void. WheelsVibe retains the right, at its absolute discretion, to assign the rights and obligations under this Agreement to an affiliate or another entity in relation to a corporate transaction or any other lawful purpose.

        18. No Agency Relationship

        The Member shall not be construed, in any manner or for any purpose whatsoever, as an agent, servant, or employee of WheelsVibe.

        19. Terms & Termination:

        19.1 This Member Agreement shall remain in effect until either You or WheelsVibe decide to terminate it, in accordance with the following provisions. If You wish to terminate Your agreement with WheelsVibe, You can do so by either (i) refraining from accessing the Website, or (ii) closing Your Account for all the Services You utilize, provided that WheelsVibe has made this option available to You.

        19.2 WheelsVibe reserves the right, at its sole discretion and without prior notice, to terminate Your access to the Website and restrict Your future access to the Website if WheelsVibe determines that You have violated the terms and conditions of this Member Agreement or any other Website policy. You acknowledge that any breach of the Agreement(s) by You may cause irreparable harm to WheelsVibe, for which monetary damages may be insufficient, and You consent to WheelsVibe seeking any injunctive or equitable relief that WheelsVibe considers necessary or appropriate under such circumstances. These remedies are in addition to any other remedies available to WheelsVibe under applicable law or equity.

        19.3 Furthermore, apart from the provision stated in Clause 20.2 above, WheelsVibe reserves the right to terminate the terms of this Member Agreement with You at any time, with or without prior notice, if:

        WheelsVibe is compelled to do so by law (such as if providing the Services to You becomes unlawful), or upon request from any law enforcement or governmental agencies;

        • The provision of the Services to You, as determined solely by WheelsVibe, is no longer commercially viable;

        • WheelsVibe decides, for any reason, to discontinue access to the Website, the Services (or any portion thereof);

        • In the event that WheelsVibe encounters unforeseen technical issues or problems that impede the functioning of the Website and/or Services.

        19.4 WheelsVibe reserves the right to terminate or suspend, in whole or in part, Your Account or access to the Services, with or without cause. Termination of Your Account may encompass the following actions: (i) withdrawal of access to all features provided on the Website or related to the Services; (ii) deactivation of access to Account Information, including Your personal details, login credentials, and any associated information, files, and materials contained within Your Account (or any portion thereof), including User Content uploaded by You; and (iii) prohibition of any further utilization of the Services.

        19.5 You acknowledge and agree that all terminations will be at the sole discretion of WheelsVibe, and WheelsVibe shall not be held liable to You or any third party for any termination of Your Account (including the subsequent deletion of Your Account Information) or Your access to the Website and Services.

        19.6 Despite the preceding statements, the terms of this Agreement that are intended to remain in effect after termination or expiration of this Agreement will continue indefinitely, unless WheelsVibe decides to terminate them.

        20. Force Majeure Clause:

        If the performance of any Service or obligation under the terms and conditions of this Member Agreement, or any other provisions of the Website’s policies, or by third parties involved in transaction fulfillment (e.g., home deliveries of vehicles, payment gateways, etc.), is hindered, limited, delayed, or disrupted due to labor disputes, strikes, acts of God, natural disasters, floods, lightning, severe weather conditions, material shortages, rationing, utility or communication failures, earthquakes, war, revolution, acts of terrorism, civil unrest, acts of public enemies, blockade, embargo, or any government law, order, proclamation, regulation, ordinance, demand, or requirement, or any similar or dissimilar events beyond the reasonable commercial control of WheelsVibe or its subcontractors performing such services, and could not have been prevented by reasonable precautions (each event referred to as a “Force Majeure Event”), then WheelsVibe shall be released from its obligations to the extent and duration of such Force Majeure Event. WheelsVibe will make commercially reasonable efforts to continue fulfilling its obligations under this Agreement.

        21. Communications.

        By using the Website or sending emails or other data, information, or communications to WheelsVibe, You acknowledge and agree that You are engaging in electronic communication with WheelsVibe. You also consent to receive communications periodically and as necessary from WheelsVibe through electronic records. WheelsVibe will communicate with You via email, notices on the Website, electronic records on the Website, or through Your provided mobile number, which shall be considered as sufficient notice or electronic record to the maximum extent permissible under applicable law. Please note that You may also utilize WheelsVibe’s customer support email, Facebook page, and Twitter handle to express your appreciation exclusively related to your ride experience.

        22. Feedback and Information:

        22.1 When providing feedback to WheelsVibe, You acknowledge that it is considered non-confidential. WheelsVibe retains the right to utilize such information without any limitations. By submitting the feedback, You confirm and warrant that: (i) Your feedback does not contain confidential or proprietary information belonging to You or any third parties; (ii) WheelsVibe is not bound by any obligations of confidentiality, whether explicit or implicit, concerning the feedback; (iii) WheelsVibe may already have similar feedback under consideration or in progress; and (iv) You are not entitled to any form of compensation or reimbursement from WheelsVibe for the feedback under any circumstances.

        22.2 WheelsVibe’s Discretion: WheelsVibe reserves the right, at its sole discretion, to make modifications or changes to the Website, Content, and/or Services based on user feedback. However, WheelsVibe is under no obligation to implement such modifications or changes.

        Ownership of Changes: In the event that WheelsVibe decides to incorporate any feedback-driven changes or modifications to the Website, Content, and/or Services, you acknowledge and agree that you shall not have any rights or title, including intellectual property rights, in relation to such changes or modifications.

        Waiver of Rights: By providing feedback, you expressly waive any and all rights you may have in the resulting changes or modifications to the Website, Content, and/or Services. Additionally, you assign to WheelsVibe all worldwide rights and title, including intellectual property rights, to such changes or modifications in perpetuity.

        Legal Waiver: You hereby waive all rights conferred by Section 19(4) of the Indian Copyright Act, 1956, or any similar provisions in the laws of any jurisdiction, with regard to any feedback-driven changes or modifications to the Website, Content, and/or Services.
